Contracting Intelligence Platform Terms and Conditions
Version October 9, 2026. Effective October 9, 2026 upon publication; existing-user assent and any required notice govern application to existing accounts.
1. Product and contracting party
The Contracting Intelligence Platform (CIP) is the business assessment application available at https://cip.coaig.com. City of Angels Investment Group, LLC, a California limited liability company (COAIG, we, us, or our), operates CIP and is the contracting party under these Terms. CIP is a product name, not a separate legal entity. Our business mailing address is 72-811 Highway 111 #1066, Palm Desert, CA 92260, United States.
These Terms govern CIP software access and subscriptions. COAIG's CIS advisory services, downloadable toolkits and free 15-question Contracting Intelligence Checklist are separate offerings and are not included in a CIP subscription unless expressly stated in a separate written agreement or order.
The customer is the individual or business identified at enrollment. If you enroll for a business, you represent that you have authority to bind it; you and your authorized business must comply with these Terms. CIP is intended for adults at least 18 years old using it for business purposes. Initial enrollment is by invitation for adults using CIP for a business in the United States. COAIG checks eligibility before issuing invitations; there is no public self-registration. Canada and Mexico enrollment is deferred. These are operator-administered checks, not automatic geolocation or age verification. Nothing in these Terms removes mandatory protections applicable in your jurisdiction.
2. Agreement and account security
Review these Terms and the Privacy Notice before enrolling. By affirmatively accepting these Terms through the designated account or purchase control, you agree to them. If you do not agree, do not enroll or purchase. The Privacy Notice describes our information practices; accepting these Terms is not consent to unrelated marketing or every form of data processing.
Provide accurate account information and keep credentials private. You are responsible for authorized activity under your account and must promptly report suspected compromise to CIS@COAIG.com. This does not make you responsible for activity caused by COAIG's own breach of its legal obligations.
3. License and permitted use
Subject to these Terms and your applicable plan, COAIG grants a limited, nonexclusive, nontransferable right to use CIP for your authorized business's internal assessment and planning. Starter permits one user and one business. A consultant may use CIP for their own business; offering CIP-based assessments to clients requires a separate agreement.
Do not share subscriptions, resell assessment services, provide client platform access, sublicense or white-label CIP, bypass limits, interfere with security or other accounts, use unlawful content, or infringe another person's rights. Do not copy or reverse engineer proprietary software or extract it for a competing service except to the extent mandatory law permits. No restriction removes legally protected rights.
4. Trial and subscription
The trial includes two new assessments for 14 days without a payment card. It does not automatically convert to a paid subscription. CIP Starter costs $29 USD per month and renews monthly until canceled. Each paid billing period includes five new assessments. Unused allowances do not roll over; there are no automatic overage charges. The checkout displays the final charge and applicable taxes before you authorize payment.
By separately authorizing a paid recurring subscription in checkout, you authorize the disclosed monthly charges until cancellation. Subscription renewal authorization does not arise merely from visiting this page or starting the no-card trial. Keep the subscription acknowledgment and invoices. Contact support about billing errors; nothing here restricts statutory payment-dispute or refund rights.
5. Assessment allowances and access
Creating a new assessment consumes one allowance. Editing an existing assessment or exporting its report does not consume another. Deleting an assessment does not restore its allowance. An active subscriber who exhausts the allowance can continue editing existing assessments and exporting reports.
After paid access ends, or while payment is not confirmed, creating and editing assessments are blocked. Existing assessments remain available to read and export while the account and its records remain available, subject to lawful suspension, deletion and retention provisions below. Cancellation alone does not delete records.
6. Cancellation and refunds
Use Manage subscription in CIP to cancel through the Stripe customer portal before the next renewal. Scheduled cancellation takes effect at the end of the paid period. Contact CIS@COAIG.com if cancellation controls are unavailable. We will honor applicable cancellation rights and will not require a new purchase to cancel.
Cancellation does not automatically issue a refund. Refund requests are reviewed case by case; send your account email and invoice reference to support. This policy does not reduce refund or other remedies required by applicable law.
7. Ownership and customer content
COAIG and its licensors retain rights in CIP software, interface, methodology, scoring logic, templates, branding and other platform materials. These Terms do not transfer those rights. This reservation is subject to third-party and open-source license rights.
You retain your rights in information you submit. You grant COAIG a limited license to host, copy and process that information as necessary to operate CIP, provide requested features, support and secure the service, and comply with law, as described in the Privacy Notice. This is not permission to sell your content or use it for unrelated advertising.
You may use and share your exported reports for your business's internal planning and ordinary business communications, subject to third-party rights and the prohibition on selling CIP-based assessment services without a separate agreement. Platform ownership does not give COAIG ownership of your business facts. COAIG does not guarantee exclusive rights in standard report text or scoring results.
8. Submitted information and professional reliance
You must have permission to submit the content you enter. Minimize personal and confidential information. Do not submit classified information, controlled unclassified information, export-controlled technical data or information requiring a government-authorized secure environment. Do not submit unnecessary health data, identity documents, financial-account credentials or other highly sensitive personal information. CIP is not represented as an authorized environment for such material.
CIP supports business assessment and planning. It is not legal, accounting, tax or procurement advice and creates no professional adviser relationship. It does not guarantee eligibility, compliance, a government award, bid success or profitability. COAIG is not a government agency, and CIP does not imply government endorsement. Verify inputs, calculations, evidence and conclusions against authoritative sources and qualified advisers before relying on or sharing reports.
Live external AI analysis is disabled for this release. Any future external AI feature requires separate accurate disclosures and the feature-specific consent presented before use.
9. Availability and records
Maintenance, outages and provider interruptions may affect availability. Export records needed independently. No guaranteed uptime, disaster-recovery period or backup service is included unless separately agreed in writing. COAIG remains responsible for duties that cannot lawfully be excluded.
Data handling and retention are described in the Privacy Notice. Subscription cancellation is distinct from account deletion. Request account deletion through support; lawful retention exceptions may apply. Records stored only in your browser require your own management and may be lost if browser storage is cleared. Scheduled account disposal is not currently active. The current Privacy Notice describes manual review and deletion requests; no future retention schedule shortens existing read/export access through these Terms. Before adopting a shorter retention period, COAIG will provide notice and a reasonable export opportunity.
10. Suspension and termination
COAIG may proportionately restrict or suspend access for material breach, unlawful use, security threats, required legal action or unresolved payment. Where feasible and lawful, we will notify you and allow a reasonable opportunity to address the issue. Immediate action may be necessary to protect users or comply with law.
If COAIG permanently discontinues paid service for reasons other than your material breach, we will provide notice and a reasonable opportunity to export accessible records where lawful and technically feasible, and refund prepaid fees for the unused discontinued paid period. This does not guarantee restoration of data already lawfully deleted or require disclosure of other users' information.
11. Warranty disclaimer
TO THE EXTENT PERMITTED BY LAW, CIP AND REPORTS ARE PROVIDED AS IS AND AS AVAILABLE. COAIG DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT, AND DOES NOT WARRANT UNINTERRUPTED OPERATION OR ERROR-FREE OUTPUT. EXPRESS WRITTEN COMMITMENTS AND WARRANTIES OR REMEDIES THAT CANNOT LAWFULLY BE EXCLUDED REMAIN EFFECTIVE.
12. Liability allocation
TO THE EXTENT PERMITTED BY LAW, COAIG AND ITS PERSONNEL ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OR LOST PROFITS ARISING FROM CIP USE. COAIG'S AGGREGATE LIABILITY ARISING FROM CIP AND THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID COAIG FOR CIP IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100.
These limits do not exclude liability for fraud, willful misconduct, gross negligence where exclusion is prohibited, or other liabilities, statutory remedies or duties that cannot lawfully be limited. They do not waive mandatory privacy or consumer rights. The limits apply only to the extent enforceable under applicable law.
13. Third-party claims arising from misuse
To the extent permitted by law, a business customer will indemnify COAIG against third-party claims and reasonable resulting costs arising from that customer's unlawful submitted content, infringement of third-party rights through content supplied without permission, or deliberate prohibited misuse of CIP. This does not cover claims caused by COAIG's breach, negligence or misconduct or CIP materials supplied by COAIG.
COAIG must promptly notify the customer, reasonably cooperate and permit a reasonable defense. No settlement may impose an admission, nonmonetary duty or uncompensated obligation on either party without that party's written consent, not unreasonably withheld. This indemnity concerns substantiated third-party claims and reasonable defense costs, not an automatic obligation to pay every allegation. Mandatory rights remain unaffected. The customer may manage the defense through qualified counsel reasonably acceptable to COAIG; COAIG may participate at its own expense. If the customer does not assume a covered defense after reasonable notice, COAIG may defend and seek reasonable covered costs. No indemnity is owed for COAIG's own fault described above. The company liability cap in section 12 does not itself set a separate customer-indemnity cap.
14. Changes and general provisions
Material subscription or price changes will be communicated before an affected renewal with an opportunity to cancel and any notice or consent required by law. Material changes to these Terms will identify their effective date and be notified appropriately; obtain renewed assent where legally required. Changes do not retroactively remove accrued rights.
California law governs these Terms, without applying its conflict-of-law rules. Unless mandatory law provides otherwise, disputes will be heard in the state courts in Riverside County, California, or the federal courts with jurisdiction over Riverside County. This provision does not remove mandatory local-law protections or lawful small-claims remedies. No arbitration or class-action waiver is proposed.
If a provision is unenforceable, the remaining provisions remain effective to the extent lawful. Failure to enforce a right is not a waiver. These Terms and any expressly applicable CIP order constitute the agreement for CIP; an expressly conflicting separately signed agreement controls its subject matter. The Privacy Notice explains data practices and is not an expansion of customer content licenses.
Neither party becomes the other's partner or agent. A business customer may not transfer its subscription without written consent. COAIG may assign the agreement as part of a bona fide reorganization or transfer of the CIP business, subject to applicable law and without reducing mandatory customer rights. Rights and obligations intended to survive termination remain effective.
